Recent decisions including ASIC v Fortescue Metals Group Ltd, James Hardie and the Citrofresh case have given rise to a number of considerations for directors in relation to their directors duties and continuous disclosure obligations under the Corporations Act and ASX Listing rules.

About the presenters
Diana Lohrisch, partner, McCullough Robertson Lawyers
Diana Lohrisch is a Partner in our Corporate Advisory team and also heads our Food and Agribusiness Group. She specialises in capital raisings, mergers and acquisitions, restructures, and local and overseas stock exchange listings including on ASX, NSX and AIM.
Diana has extensive corporate and commercial experience advising boards, listed and unlisted public companies, private companies and individuals, businesses, non profit organisations and cooperatives. She advises on issues including directors’ duties, meetings, corporate governance, ongoing risk management and regulatory compliance. Diana regularly undertakes due diligence assignments and has developed risk management and compliance systems for various organisations.
Diana works with clients across a diverse range of industries including food and agribusiness, mining services, aged care and retirement living, renewable energy, technology and property development.
She is course director in Applied Corporate Law for the Queensland Branch of Chartered Secretaries and is a frequent presenter on corporate issues for other organisations. Diana is also a member of the CSA QLD State Council.
