Shearman & Sterling's Hong Kong, New York and Silicon Valley offices have advised the underwriters on the Nasdaq and New York Stock Exchange listings of two Taiwanese companies.
Hong Kong capital markets partner Leiming Chen led the Shearman team - which included partners Carmen Chang and Larry Crouch from the firm's Menlo Park office, and New York counsel Charles Gittleman - acting for the underwriters led by Deutsche Bank Securities Inc. on the US$70.4m IPO and Nasdaq listing of American Depository Shares (ADS) of Taiwan-based Silicon Motion Technology Corporation.
Fellow US firm Preston Gates & Ellis advised Silicon Motion Technology, with its local arm Preston Gates Taiwan Commercial Law Offices advising on Taiwanese law matters. Conyers Dill & Pearman provided Cayman law advice.
The proceeds of the IPO raised will go toward research and development and other general corporate purposes for the Cayman Islands-incorporated company, which designs, develops and markets semiconductors for the multimedia consumer electronics market.
Shearman's Chen also led the team - which again included Crouch and Gittleman - advising the underwriters, led by Goldman Sachs International, on the US$506.6m follow-on offering of ADS on the NYSE of Taiwan-based AU Optronics Corporation.
Davis Polk & Wardwell advised AU Optronics, which is Taiwan's largest - and the world's third largest - manufacturer of thin film transistor liquid crystal display (TFT-LCD) panels. Russin & Vecchi International Legal Counsellors provided local law advice.
