Firms close second CB issue for Enercoal-Bumi

ALB Indonesia Deal Firm of the Year Hadiputranto Hadinoto & Partners was one of the law firm beneficiaries of the second major convertible bond offering by Enercoal Resources and its parent company Bumi Resources.
Working alongside a team from Linklaters Allen & Gledhill, HHP advised sole bookrunner and lead manager Credit Suisse on the offering of US$150m zero coupon guaranteed convertible bonds due October 2012.
Closing on 1 October, the offering by Singapore finance subsidiary Enercoal Resources was guaranteed by, and convertible into ordinary shares of, Indonesia's largest coal mining and exporting company, Bumi Resources.
The offering follows their issuance of US$300m zero coupon guaranteed convertible bonds due June 2012 on 28 June.
The issuer and guarantor turned to Ali Budiardjo Nugroho Reksodiputro on Indonesian law matters and White & Case on English law, with the US firm's formal law alliance partner Venture Law advising on Singapore law.
Linklaters Allen & Gledhill also advised The Bank of New York as Trustee, with Venture Law also representing the Singapore listing agent.
