Clayton Utz has assisted long-time client Hong Kong based Noble Group Limited in relation
to a suite of transactions involving Gloucester Coal. Noble Group is controlling shareholder of Gloucester Coal. The transactions include the acquisition by Gloucester from Noble Group of Hunter-Valley based coal producer Donaldson Coal with an enterprise value of A$580m and an equity raising. Lead partner is Rory Moriarty. Minter Ellison is advising Gloucester Coal on all legal and tax aspects of the interrelated transactions, while Freehills partner Tony Sparks advised the underwriters to the capital raising
Corrs Chambers Westgarth has advised longstanding client Archer Capital on its acquisition of a controlling stake in V8 Supercars Holdings Pty Ltd. Partners James Rozsa and Shawn Wytenburg led the Corrs team.
Mallesons is advising a Chinese consortium including Baiyin and the China Africa Development Fund on a strategic investment in ASX-listed Gold One International Limited. David Eliakim is the lead partner. The Chinese consortium is investing up to $250m into Gold One and simultaneously making an off-market takeover offer. A team from Blake Dawson, led by partner Roger Davies, is advising Gold One.
Minter Ellison is advising Chinese agri-business company COFCO on its recently announced A$127m takeover bid for Tully Sugar. The offer is made by COFCO’s wholly owned subsidiary Top Glory (Australia). The team is led by partners Marcus Best, Bruce Cowley and David Schiavello.
